Our venture practice is not limited to standard joint ventures, although we handle those transactions at all levels of complexity. We regularly work on technology transfers, transactions involving the licensing or use of intellectual property, research partnerships and other sophisticated ventures.

TaxGroup also assists clients with the full spectrum of financing transactions, including raising equity capital, including preferred stock issuance; issuing debt, convertible debt, and hybrid debt; and securitizations. We are experienced in both inbound and outbound transactions involving foreign investors and businesses. We structure options (both financial and those issued in connection with the performance of services), warrants, and investment units involving combinations of assets or interests.

Tax allocations in joint ventures can be complex, but we are well equipped to understand, implement and report them. We assist in planning utilization of tax losses and tax attributes and in preserving them through the various types of transactions that can affect a venture.
